School Lunch Makeover Video Contest
Official Rules

OVERVIEW: The objective of this promotion is to solicit ideas on how to create and foster a “healthier school lunch” environment. To this end, Whole Foods Market (the “Sponsor”) is hosting an online video contest encouraging participants to submit their ideas and suggestions on how to accomplish this in typical school settings across the country.

ENTRY: The “School Lunch Revolution” Video Contest (the “Contest”), begins on September 11, 2009 at 12:01 a.m. Central Time (“CT”), and ends on October 8, 2009, at 11:59 p.m. CT. Sponsor’s clock is the official timekeeper of the Contest.

Here are the steps you must follow:

If you don’t already have an account, sign up for YouTube (http://www.youtube.com/create_account)

If you do already have an account, simply sign in (http://www.youtube.com/ – upper right)

Once you've finished editing your video (making sure it's less than 1 minute, smaller than 2GB in size, and in an acceptable format), you're ready to upload it.

  • Click the button “Upload Video” in the upper-right-hand corner of any YouTube page.
  • Click the "Browse" button to browse for the video file you'd like to upload to our site. Select the file you want to upload.
  • Click the “Upload Video” button to start the uploading process.
  • As the video file is uploading, enter as much information about your video as possible in the relevant fields (including Title, Description, Tags, and Category). You're not required to provide specific information, but the more information you include, the easier it is for users to find your video!
  • Click the “Save Changes” button to save the updates you've made to the video file.

It can take from a couple minutes to an hour for your video to upload to YouTube. If you're receiving an error with your upload, you might want to make sure you're attempting to upload a file that's recognized by YouTube. YouTube accepts video files from most digital cameras and camcorders, and cell phones in the .AVI, .MOV, .WMV, and .MPG file formats.

Finally, email schoollunchmakeover@wholefoods.com with your Full Name, Contact Information (Email, Phone Number, Home Address), School or School District Name and a link to your video.

Again, video entries must be submitted using one of the following formats: AVI (windows); MOV (mac); MPEG; or WMV, must be one minute (or less) in length, and must not exceed a 250 MB file size. Only one entry per e-mail address and/or per person. Duplicate entries and entries in excess of the foregoing limit will be disqualified and only the first entry received from that person and/or email address will be accepted. Sponsor, and their respective promotional partners and affiliates are not responsible for lost, late, or misdirected entries, due to technical, transmission or other reasons beyond their control. Entrants give full and irrevocable consent to the Sponsor to have their submission published in any form of media of their choosing.

Videos eligible for the contest will be posted to http://wholefoodsmarket.com/schoollunchmakeover. Sponsor maintains the right to not post video to the contest page due to inappropriate content.

ELIGIBILITY: Entrants must be 18 years or older at time of entry and a legal resident of the United States. Void where restricted or prohibited by law. Employees of the Sponsor, their affiliates, vendors, and their respective agencies involved in this Contest (collectively the “Contest Entities”) and the immediate family members of these entities (parent, child, spouse, sibling) and members of the households of all such employees, are not eligible. Contest is subject to all federal, state and local laws and regulations.

PRIZE: There is one (1) Grand Prize being offered, which will be awarded to the school designated by the winner of the Video Contest. The winning school will receive a personal visit from Chef Ann Cooper to the winner’s school or school district office where she will present information on the need for healthier school lunches, will do a limited evaluation of the winning school’s lunch program, and will spend up to 8 hours of consulting time developing a proposal on how to improve that particular school’s lunch program. Prize includes all travel and consulting time, and has an approximate value of $6,000. Awarding of the prize to winner’s choice of school is dependent upon acceptance of the prize by an authorized representative or administrator of the school who has the authority to accept such prize on behalf of the school. All public, as well as private, state-accredited, schools are eligible.

JUDGING CRITERIA: Entries will be reviewed and evaluated by qualified representative of the Sponsor, and Chef Ann Cooper. Entries will be judged in accordance with the following criteria: 50% Relevance to Promotion Theme, 25% Originality, and 25% Production Quality. In the event of a tie, subject entries will be revaluated and winner determined on the basis of “Originality” only. Judging will conclude on/about 10/19/09, and the winner announced on 10/20/09 (judging and winner announcement could be concluded earlier). The decision of the Sponsor’s judging panel (“Judges”) is final and binding.

By entering, each participant represents that his/her entry is original and does not infringe on any third party rights, and that the publication, distribution, transmission, duplication, exhibition, dissemination and other exploitation in any and all media throughout the world of the entrant’s video by the Sponsor or its designee(s) shall not infringe any third party rights and that entrant will indemnify, defend and hold the Contest Entities harmless in connection therewith.

WINNER CONFIRMATION: Potential winner will be notified within 24 hours of the Judges decision. If winner notification is deemed undeliverable, an alternate winner (2nd highest ranking, in Judges opinion) will be awarded the prize. Prize is not transferable, and no prize substitutions will be allowed.

PUBLICITY RELEASE: Except where prohibited, acceptance of the prize constitutes winner’s consent that their submission, as well as their name, likeness, voice and/or biographical data may be used by Sponsor and its authorized designee’s without limitation and/or compensation.

GENERAL TERMS/CONDITIONS: This Contest is intended for viewing in the United States only and shall be construed and evaluated only according to United States law. Do not enter this Contest if you are not located in the US. If for any reason, the promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest, and select a winner from entries received up to the time of such termination.

WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY COMPUTERIZED SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH ATTEMPT BE MADE, NEW BALANCE RESERVES THE RIGHT TO SEEK DAMAGE FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The “authorized account holder” is the is the natural person to whom the applicable Internet service provider or other organization (such as business or educational institution) has assigned the e-mail addresses for the domain associated with the submitted e-mail address. In the event of a dispute, the potential winner may be required to provide proof that he or she is the authorized holder of the identified e-mail account.

BY ENTERING, entrants agree to accept and abide by the Official Rules of this Contest and further agree that any dispute with regard to the conduct of this Contest, rule interpretation or award of prize, shall be submitted to Sponsor, whose decision shall be binding and final. By participating or accepting a prize, entrant agrees to forever and irrevocably release, indemnify and hold harmless the Contest Entities from any and all claims, liability, demands, judgments, damages, and lawsuits, for injury, liability, defamation, libel, slander, invasion of privacy, infringement of publicity or any intellectual property rights, any property loss, damage, personal injury, bodily injury, death, expense, accident, delay, inconvenience or irregularity, and any indirect, incidental, consequential, special, punitive or exemplary damages of any kind (even if the Releasees have been advised of the possibility of such loss or damages), costs and expenses (including, without limitation, reasonable outside attorneys’ fees) arising from, resulting from or in connection with, due in-whole or in-part, directly or indirectly to, the Contest and any element and activity thereof, and the participation, entry or inability to participate and enter the Contest; the prize and any component thereof, including without limitation, the acceptance, possession, participation in, use/misuse or inability to use, or defects in a prize; the violation of any third party privacy, personal, publicity or proprietary rights; any change in the prizing (or any components thereof) due to unavailability, business or creative considerations, or due to reasons beyond Sponsor’s control; any wrongful, negligent, or unauthorized act or omission on the part of any of the Contest, or any of their agents or employees; or the collection, use and/or sharing of entrant’s personally identifiable information by Sponsor or its designees. Further, the Contest Entities are not responsible for any typographical or other error in the dissemination of these Official Rules, administration of the Contest, promotional materials with respect to the Contest or in the announcement of prizes. In no event will more than the stated number of prizes be awarded. All entries are the property of Sponsor and are not returnable. If a winner is found to be ineligible or otherwise not in compliance with these Official Rules, prize will be forfeited and an alternate winner selected, time permitting.

GRANT OF RIGHTS. By participating in the Contest, each entrant hereby grants and agrees to grant to Sponsor its affiliates, successors, licensees, assignees and other authorized designees, a perpetual, fully-paid, royalty-free, transferable, fully sublicenseable, worldwide, irrevocable, non-exclusive right and license to, distribute, transmit, duplicate, exhibit, publish, disseminate and otherwise exploit, in any and all media, entrant’s entry (i.e. submitted video) (and each component thereof) and the entrant’s name, likeness, image, photograph, voice, performance, sounds and/or biographical data. All of the foregoing shall apply in any media, manner, technology or content delivery mechanism now known or hereinafter devised, in connection with the Contest, its administration, judging, advertising and/or publicity.

PRIVACY: All information collected by Sponsor in connection with the online entries will be subject to Sponsor's Privacy Policy available at www.wholefoodsmarket.com.

WINNERS LIST: Winner will be announced on the Sponsor’s website within one week of receiving written confirmation from winner and their school, to which the donation will be made. For written confirmation of the prizewinner’s name and city of residence, send a self-addressed stamped envelope postmarked no later than 11/30/09 to: Whole Foods Market “School Lunch Revolution” Video Contest Winner Confirmation Request, PO Box 25497, Rochester, NY 14625.
